⚖️ Binding Legal Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and MetricRig. By accessing or using any part of our Service, you agree to be bound by these Terms. These Terms are governed by the laws of British Columbia, Canada. Any disputes shall be resolved exclusively in the courts of Vancouver, BC.

1 Definitions & Interpretation

In these Terms:

"Service" means the MetricRig website, all calculation tools, guides, and related software available at metricrig.com.
"User," "You," "Your" refers to any individual or entity accessing the Service.
"We," "Us," "Our," "MetricRig" refers to the owner and operator of the Service, operating under British Columbia, Canada law.
"Content" means all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, videos, sounds, music, artwork, and computer code.
"User Data" means any data, including business data, calculations, manifests, or financial figures, that you input into the Service.

2 Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will update the "Effective Date" at the top of this page when changes are made.

3 Description of the Service

MetricRig provides a suite of browser-based calculation and visualization tools designed for logistics, finance, marketing, and operations professionals. Our tools include Container Loader, DIM-Rig, Warehouse-Rig, Freight Class Calculator, Burn Rate Calculator, Unit Economics Calculator, SaaS Churn Calculator, AdScale Calculator, A/B Test Calculator, Cap Rate Calculator, Commission Calculator, Employee Cost Calculator, EOQ Calculator, Landed Cost Calculator, Lease vs. Buy Calculator, Valuation Calculator, and Engagement Calculator.

All outputs generated by MetricRig tools are high-level estimates intended for reference and planning purposes only. They are not exact figures and should not be treated as such. Before acting on any output from this Service, you must independently verify all figures with relevant professionals.

4 Client-Side Architecture & User Data

MetricRig operates on a client-side architecture. All calculations are performed entirely within your web browser using JavaScript. Your User Data is not transmitted to our servers. Data persistence utilizes your browser's localStorage, which stores data exclusively on your device.

5 User Responsibilities & Acceptable Use

You agree to comply with all applicable laws and regulations, treat outputs as estimates, and independently verify calculations before relying on them for logistics, financial, or marketing operations.

6 Intellectual Property Rights

The Service, including design, code, and trademarks, is the exclusive property of MetricRig. You retain full ownership of all User Data that you input into the Service.

7 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. METRICRIG DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL METRICRIG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

9 Indemnification

You agree to defend, indemnify, and hold harmless MetricRig from and against any claims, liabilities, damages, or costs arising out of your use of the Service or violation of these Terms.

10 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of British Columbia and the federal laws of Canada applicable therein. Any legal proceeding shall be instituted exclusively in Vancouver, BC.
